PUBLIC OFFER
for a voluntary charitable donation

1. GENERAL PROVISIONS

1.1 This public offer for a charitable donation (hereinafter referred to as the ‘Offer’), in accordance with Art. 641 of the Civil Code of Ukraine, is a proposal of the Public Organisation ‘Social Sports Club Mriya’, legal entity identification code 45734493, located at: 15/22 Novokonstantynivska Street, Kyiv, 04080, Ukraine, office 222, (hereinafter referred to as the ‘Organisation’), represented by its Head Oleksandr Oleksandrovych Volynchuk, acting on the basis of the Charter, to an indefinite number of capable individuals and legal entities of private law, who voluntarily carry out charitable activities (hereinafter each of such persons is referred to as the ‘Donor’), to conclude an agreement on the provision of a charitable donation (hereinafter the ‘Agreement’) on the terms described in this Offer with each applying Donor.

1.2 This Offer comes into force from the moment it is posted on the Organisation’s website at the following link: https://www.fc-mriya.com.ua/ (hereinafter referred to as the ‘Website’). This Offer is perpetual and may be amended or withdrawn by the Organisation at any time (prior to its acceptance by the Benefactor) by posting the relevant information on the Website.

1.3 The Organisation may enter into contracts for the provision of a charitable donation in a different manner and/or on different terms than provided for in this Offer. The Donor may separately apply to the Organisation to conclude such an agreement.

2. SUBJECT OF THE AGREEMENT

2.1 The subject matter of this Agreement is the free and voluntary transfer by the Donor to the ownership of the Organization of funds or other property by making a charitable donation for the implementation of the statutory activities of the Organization. The Donor independently determines the amount of the charitable donation. The Organization independently determines the directions of use of the charitable donation within its statutory activities, unless otherwise determined by the Donor in accordance with the procedure established by this Agreement. The subject matter of this Agreement is not to obtain profit directly or indirectly by either Party to the Agreement.

2.2 The transfer of funds by the Donor under this Agreement shall be recognised as a charitable donation in accordance with Article 6 of the Law of Ukraine ‘On Charitable Activities and Charitable Organisations’.

2.3 If desired, the Donor may indicate the purpose of the charitable donation by choosing among the programmes (projects) and goals announced by the Organization.

3. ACTIVITIES OF THE ORGANISATION

3.1 The Organisation has the right to receive assistance in the form of funds or property received free of charge in the form of non-refundable financial assistance, donations, donations of real estate, grants and to independently decide on their use in accordance with the provisions of the statutory documents of the Organisation and the requirements of the current legislation of Ukraine.

3.2 The activities of the Organisation are not intended to make a profit.

3.3 Information about the activities of the Organisation, including the results of such activities, is posted on the Website.

4. MAKING A DONATION

4.1 The Donor independently determines the amount of the charitable donation.

4.2 A charitable donation is voluntary and shall not be subject to further return to the Donor.

4.3 Charitable donations are provided by the Donors and used by the Organization to achieve the main goal of the Organization and in accordance with the areas of its activities.

4.4 The main purpose of the Organization is to develop and popularize football in order to increase the level of mass participation in this sport among all segments of the population of the country, as well as to carry out recreational, amateur, sports, cultural, educational, educational and scientific activities in the field of football, to introduce and implement physical culture and sports, rehabilitation and social programmes for internally displaced persons.

4.5 The Donor agrees to such a targeted purpose of his/her donation.

4.6 The methods of making a charitable donation are a one-time payment or by purchasing a package (subscription). The packages may differ in content and amount of the charitable donation.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1 The Organisation undertakes to use the funds of the Donor’s charitable donation in strict accordance with the legislation of Ukraine and only within the framework of its statutory activities.

5.2 The Organization has the right to independently determine the areas of use of the charitable donation in accordance with its statutory activities and the legislation of Ukraine, unless the Donor has determined a specific purpose of his/her donation under a separate agreement with the Organization. Thus, if the specific purpose of the charitable donation is not determined by the Donor, it is considered that the donation is made for the implementation of the Organization’s statutory activities.

5.3 The Donor has the right to receive information about the use of his or her charitable donation. For this purpose, the Organisation may publish the results of its statutory activities on the Website.

5.4 At the written request of the Donor, the Organization may also confirm the intended use of the charitable donation with additional documents.

5.5 By making a charitable donation, the Donor unconditionally confirms the following facts: 1) his/her legal capacity, 2) voluntariness of the transaction, 3) that the object of the charitable donation is not prohibited, arrested, pledged, encumbered by any other rights of third parties and was not acquired in violation of the Law of Ukraine ‘On Prevention and Counteraction to Legalisation (Laundering) of Proceeds of Crime, Terrorist Financing and Financing of Proliferation of Weapons of Mass Destruction’. In case the Organisation has reasonable doubts about these statements, the Organisation has the right to request, and the Donor undertakes to provide, appropriate supporting evidence of these statements.

6. ACCEPTANCE OF THE OFFER

6.1 Acceptance is the full and unconditional acceptance of the Public Offer by taking actions to make a money transfer using the payment forms and means posted on the Site, other electronic resources, as well as by transferring funds to the current account of the Organisation through bank institutions. The moment of Acceptance is the date of the money transfer and/or crediting of funds to the bank account of the Organization.

6.2 Acceptance of the Offer means that the Donor agrees with all its provisions and is fully aware of and agrees with the subject matter of the Agreement, with the purpose of public fundraising and with the right of the Organization to use part of the Donor’s Charitable Donation for the administrative expenses of the Organization.

6.3 The Donor and the Organization, guided by Art. 639, Art. 641, 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement shall be deemed concluded. The Parties agree that failure of the Parties to comply with the written form of the transaction does not mean its invalidity.

6.4 The Organisation shall process the Donor’s personal data provided when visiting the Website, other electronic resources, making a money transfer for the purpose of proper implementation of this Agreement and its statutory activities.

7. FINAL PROVISIONS

7.1 The provisions of the current legislation of Ukraine shall apply to the relationship between the Donor and the Organization.

7.2 The Organization’s liability for breach of this Agreement or the procedure for using charitable donations shall be on the grounds, in the amount and in the manner prescribed by the requirements of the current legislation of Ukraine.

7.3 In case of disputes between the Parties to this Agreement, they shall be resolved through negotiations. If it is impossible to resolve disputes through negotiations, disputes shall be considered by the courts in accordance with the procedure established by the current legislation of Ukraine.
